Spina Balans Ltd´s general sales and delivery terms and conditions

The general sales and delivery terms and conditions below shall apply as if no other written agreement exists between the parties.
1) Times of delivery are stated in the offer/price lists.
If a delay in the delivery is caused by any of the circumstances mentioned under clause 5 or by circumstances of the buyer, the time of delivery is extended as much as is demanded relevant according to the circumstances.
2) The terms of payment is stated in the offer/price lists. On late payments is charged a 1,5% interest per month on the invoiced amount. The delivered goods remain the property of Spina Balans Ltd until payment has been made in full.
3) In case of errors or omissions to the delivered products Spina Balans Ltd is obliged at Spina Balans Ltd´s choice to either immediately remedy the error or to deliver a replacement.
Spina Balans Ltd is not liable to pay for consequential damage, business interruption, loss of earnings or any other indirect losses.
4) For product liability Spina Balans Ltd is liable according to the current general terms of indemnification.
However, Spina Balans Ltd is in no way liable for business interruption, loss of earnings or other financial consequential loss.
5) The following circumstances entails liability exemption in respect of entered agreements and obligations, whether they occur at Spina Balans Ltd or at one of Spina Balans Ltd ´s subsuppliers: industrial/labour dispute and any other circumstances beyond the transport, general shortage of goods and unforeseen breakdown of production equipment.
6) Disputes in respect of the agreement and following legal matters cannot be tried before a court of law, but must be settled by arbitration in accordance with the rules hereof in the country in which the seller resides.
